1. Acceptance

By creating an account, installing, or using the Services (mobile app + Frappe app/website), you agree to these Terms.

2. The Services

The Services allow you to create your own ERP/CRM, track employee location, and optionally use face recognition for authentication/attendance in Appe.

3. Eligibility & Accounts

You must be legally capable to enter into a contract. Keep your credentials secure. You are responsible for all activity under your account.

4. Subscriptions, Fees & Taxes

If paid plans apply, you authorize us to charge applicable fees and taxes. Unpaid amounts may lead to suspension. Fees are generally non‑refundable unless required by law or stated otherwise.

5. License to You

We grant you a limited, non‑exclusive, non‑transferable license to use the Services in accordance with these Terms and documentation.

6. Your Content & Responsibilities

  • You own your content/data.
  • You have obtained all necessary rights, consents, and notices (especially for location and biometric/face data of employees/end users) before enabling those features.
  • You will not upload illegal or infringing content or violate privacy, labor, or biometrics laws.
  • You are solely responsible for the data you enter and the actions you perform via the Services.

7. Prohibited Conduct

Do not misuse the Services, including: reverse engineering, disrupting operation, unauthorized access, automated scraping, or unlawful surveillance.

8. Configurations & Third‑Party Services

Certain features may rely on device permissions, OS/location services, or third‑party integrations. We are not responsible for third‑party services.

9. Compliance for Location & Biometric Features

  • Obtain explicit, informed consent where required.
  • Provide clear notices describing purposes, retention, and sharing.
  • Limit use to legitimate, proportionate purposes (e.g., attendance, access control).
  • Honor opt‑outs where required by law.
  • Delete biometric templates when no longer needed or upon lawful request.

10. Data Processing & Privacy

Our processing of personal data is described in the Privacy Policy. If required, a separate Data Processing Addendum (DPA) may form part of these Terms.

11. Service Changes & Availability

We may modify features, suspend, or discontinue parts of the Services with reasonable notice where practicable. We are not liable for outages due to maintenance, internet issues, or third‑party failures.

12. Support

Support is provided as described in your plan or documentation.

13. Intellectual Property

We and our licensors own the Services and related IP. These Terms do not grant ownership rights to you in the Services.

14. Feedback

If you provide feedback, you grant us a worldwide, royalty‑free license to use it without obligation.

15. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied.

16. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; and our total liability will not exceed the amounts you paid in the 12 months before the claim.

17. Indemnity

You will defend, indemnify, and hold us harmless from claims arising from your content, configurations, or unlawful use of location/biometric features.

18. Term & Termination

These Terms remain in effect until terminated. We may suspend or terminate for breach or risk to the Services. You may terminate by closing your account; certain sections survive termination.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Specify Jurisdiction, e.g., Republic of India]. Disputes will be resolved by [arbitration/courts] in [City, State], except where prohibited by law.

20. Export & Sanctions

You must comply with applicable export control and sanctions laws.
